3. Project Terms and Conditions
3.1 Project Initiation
All projects require a signed agreement and initial payment before work begins. Project scope, timelines, and deliverables will be clearly defined in the project proposal.
3.2 Payment Terms
Payment terms are as follows:
- 50% upfront payment required to commence work
- 25% payment upon project milestone completion
- 25% payment upon project delivery and client approval
- All payments are due within 15 days of invoice date
- Late payments may incur additional charges
3.3 Project Timeline
Project timelines are estimates and may be subject to change based on project complexity, client feedback, and unforeseen technical challenges. We will communicate any timeline changes promptly.
4. Intellectual Property Rights
4.1 Client Ownership
Upon full payment, clients own the final deliverables created specifically for their project. This includes custom code, designs, and documentation developed exclusively for the client.
4.2 AnberTech Rights
AnberTech retains rights to:
- Reusable code libraries and frameworks
- Proprietary tools and methodologies
- Portfolio rights to showcase completed work
- Underlying technology and infrastructure
5. Confidentiality and Data Protection
We are committed to protecting your confidential information and data:
- All client information is treated as confidential
- We implement industry-standard security measures
- Data is stored securely and accessed only by authorized personnel
- We comply with applicable data protection regulations
- Client data is not shared with third parties without consent
6. Service Level Agreement (SLA)
6.1 Support and Maintenance
For ongoing support and maintenance services:
- Response time: 24-48 hours for standard requests
- Emergency support: 4-8 hours for critical issues
- Regular maintenance windows will be scheduled in advance
- Updates and patches will be applied during maintenance windows
6.2 Uptime Guarantee
For hosting and cloud services, we guarantee 99.5% uptime, excluding scheduled maintenance windows and force majeure events.
7. Limitation of Liability
AnberTech's liability is limited to the amount paid for the specific service in question. We are not liable for:
- Indirect, incidental, or consequential damages
- Loss of profits, data, or business opportunities
- Third-party actions or failures
- Force majeure events beyond our control
8. Warranty and Guarantees
We provide a 30-day warranty period for all deliverables. During this period, we will fix any bugs or issues that prevent the solution from functioning as specified in the project requirements.
This warranty does not cover:
- Changes requested after project completion
- Issues caused by client modifications
- Third-party software or service failures
- Compatibility issues with unsupported systems
9. Termination
9.1 Client Termination
Clients may terminate services with 30 days written notice. Payment is required for all work completed up to the termination date.
9.2 AnberTech Termination
We may terminate services if:
- Client fails to make payments
- Client violates these terms
- Client engages in illegal activities
- Continued service becomes commercially unviable
10. Third-Party Services
Our services may integrate with third-party platforms, APIs, or services. We are not responsible for:
- Third-party service availability or performance
- Changes to third-party APIs or terms of service
- Data handling by third-party services
- Costs associated with third-party services
11. Force Majeure
Neither party shall be liable for delays or failures in performance due to circumstances beyond reasonable control, including but not limited to natural disasters, government actions, internet outages, or other unforeseeable events.
12. Governing Law
These terms are governed by the laws of the jurisdiction where AnberTech operates. Any disputes shall be resolved through negotiation, mediation, or legal proceedings as appropriate.
13. Changes to Terms
We reserve the right to modify these terms at any time. Changes will be effective immediately upon posting on our website. Continued use of our services constitutes acceptance of the modified terms.
